Big Sky Co-op Partnership Agreement

This Partnership Agreement ("Agreement") is intended to establish the basic terms and conditions under which Big Sky Co-op provides management services and collaborates with property owners and partners.

1. Purpose

Big Sky Co-op specializes in providing comprehensive property management services to optimize the performance, profitability, and guest experience for various property types, including but not limited to:

  • Short-Term Rentals (homes, apartments, glamping sites)
  • Recreational Vehicle (RV) and Van Rentals
  • Unique Vacation Properties

2. Services Provided

2.1 Standard Services & Procedures

  • Full Property Management: Booking coordination, guest communication, cleaning, maintenance, marketing, direct booking, and restocking.
  • Marketing & Optimization: Listing creation, dynamic pricing, photography, and promotional campaigns.
  • Technology Integration: Management software, security systems, and automated processes for streamlined operations.
  • Owner Engagement Requirement Owners must maintain regular communication and participation. Failure to:
    • Log in at least once a month.
    • Respond within 7 business days to management requests.
      May result in reclassification to high-risk status or dissolution of the partnership.

2.2 Optional Services

  • Furnishing and Equipment Setup: Assistance with furnishing, decorating, and supplying equipment for new listings.
  • Financing Coordination: Offering financing options for property improvements, furnishing, or technology.
  • High-Risk Property Management: Specialized management for properties requiring additional oversight.

3. Fees

3.1 Management Fees

  • Standard Properties: 20% of gross rental revenue.
  • High-Risk Properties: 30% of gross rental revenue.

3.2 Additional Fees

  • Technology and Software Fee: Monthly fee for software integration and security systems.
  • Laundry and Linen Service: Per turnover fee for laundry services.
  • Marketing Fee: For specialized campaigns or premium photography.

4. Cancellation and Termination

4.1 Standard Termination

  • Either Party may terminate this Agreement with a 30-day written notice.

4.2 Early Termination Fees

If termination occurs within the first 90 days of service, the following fees apply:

  1. Early Termination Fee: Equivalent to two months of management fees.
  2. Service Recovery Fee: Costs for outstanding services rendered (cleaning, maintenance, etc.).

4.3 Loan Default Termination

If financing is provided for furnishings, equipment, assets, or services and the Partner defaults on repayment:

  1. Big Sky Co-op reserves the right to immediately terminate services.
  2. All loaned furnishings and equipment will be recovered by Big Sky Co-op.
  3. A Recovery Fee will be charged to cover retrieval costs.

5. Asset Protection

5.1 Ownership of Furnishings and Equipment

  • Big Sky Co-op retains ownership of all items financed or loaned until the Partner fulfills the repayment terms.
  • Partners may not sell, transfer, or alter loaned items without written approved consent.

5.2 Recovery Process

Upon termination, Big Sky Co-op will:

  1. Conduct an inventory of all furnished items.
  2. Schedule a retrieval date.
  3. Provide the Partner with a detailed recovery report.

6. General Terms

  • Collaboration Expectations: Big Sky Co-op aims to streamline operations and minimize owner involvement.
  • Mutual Respect: Both Parties agree to act in good faith and maintain open communication.
  • Dispute Resolution: Disputes will first be resolved through mediation before legal action is pursued.
  • Governing Law: This Agreement is governed by the laws of Montana
